We've had some serious problems while running GTA IV on PC. Even on our awesomest rigs, the game is lagging like hell most of the time.
Lowering the settings or resolution doesn't seem to help at all either. Luckily though we stumbled across something that helped us, and may help alot of other people.

download that utility, copy it to your GTA IV folder, make a shortcut of it. Rightclick and go properties, add this to the end of the shortcut ' -s*.*-v'
This program will defrag your gamefiles and hopefully give you a much smoother experience. On vista you need to rightclick and run as administrator. Also make sure you have the latest GFX drivers for your graphics card.
The next step is to make a shortcut of your GTA IV Launcher and add -novblank
This will remove vertical sync from the game, and improve the framerate alot on many machines. Run the game from the GTA IV launcher and press ctrl+alt+delete, change cpu priority to realtime on both GTA IV and the GTA IV launcher.
With any luck you should now be able to run GTA IV very smooth on pretty high settings.
Please note though that its recommended to have at least a Geforce 8800 card (or a equal ATI card), 2gb of ram and a decent dualcore cpu. With bad hardware this tweak won't help you.
